Terms of service

The short version

• Venqaro Shop is for businesses, not consumers.
• During the beta it's free and provided as it is, while we keep building it. The beta terms add to these.
• Your records are yours. Your workspace's owner can download them at any time, and we process your customers' information only on your instructions.
• You're responsible for your prices, quotes, invoices and tax. Venqaro Shop doesn't give tax or legal advice.
• We'll give you notice before changes that affect you. Nothing is charged unless you've explicitly agreed to the paid plan, and you'll have at least 30 days' notice before the beta ends.

1. Who these terms are between

These terms are between Venqaro Ltd (company registration pending) (“we”) and the business that creates a workspace in Venqaro Shop (“you”). The person who creates the workspace accepts them for that business, with the beta terms and the data processing agreement, and confirms they're authorised to and that the business will use Venqaro Shop for its trade. We record who accepted, for which workspace, which versions and when. Company registration details will be added here once confirmed: [company number and registered office, pending].

How the agreement is made. You accept online, by ticking the box and choosing “Create account” (for yourself) or “Continue” when creating a workspace (for the business). Until then you can correct anything you've typed in the form. We keep a record of the version you accepted (shown at the top of this page), but this page always shows the current version, so save or print a copy for your records; we'll send you the version you accepted if you ask. The agreement is made in English.

Everyone who creates an account, including team members a business invites, agrees for themselves to the parts of these terms and the beta terms that apply to people using Venqaro Shop: keeping their account secure (section 3) and acceptable use (section 6). That doesn't make them a party to their business's agreement with us, and joining a workspace doesn't change what the business agreed.

2. The service

Venqaro Shop is online software for running a sign or print business: enquiries, customers, pricing and quotes, orders, production jobs, artwork approval, scheduling, invoices and payments, and reports. We may improve and change it over time. If we remove something you rely on, we'll tell you in advance where we reasonably can.

3. Accounts and your team

Each person needs their own account with a real email address, and must keep their password private. The owner of a workspace decides who is invited and what role each person has, and you're responsible for what your team does in it. Tell us straight away if you think an account has been misused.

4. Fees, billing and cancelling

Venqaro Shop is free during the beta, and nobody taking part in it is ever charged automatically. We'll give account owners at least 30 days' notice before the beta ends, with the final price and terms of the paid plan. You move to the paid plan only if you explicitly agree to it; if you don't, nothing is charged (the beta terms say what happens next).

The planned price is £49 a month for each business workspace, with any number of team members included, subject to fair use and to the limits we need to keep the service secure (for example on invitations, and the workspace's file storage allowance). We aren't registered for VAT, so no VAT is added to that price; if that changes before the paid plan starts, we'll tell you the price including VAT before you're asked to agree to it.

Before you're asked to agree to the paid plan, we'll show you the version of these terms that will apply to it, including the limit of our liability for paid use (section 11); you move to it only by accepting that version. Paid billing hasn't started, and no payment details are collected during the beta. The paid plan will work like this:

• Billing: monthly, in advance, with a minimum of one paid month.
• Cancelling: you can cancel at any time. It takes effect at the end of the month you've paid for: you keep access until then, and you aren't charged again.
• Refunds: cancelling doesn't bring an automatic refund for the rest of that month. We'll correct, or refund, any charge made by mistake. If we end the paid service early, we'll give you an appropriate refund for prepaid time you can't use, subject to the law and the final paid terms.
• Cancelling isn't deleting: cancelling stops future charges; it doesn't delete your workspace. Deleting it is a separate step, which is permanent (section 10, and section 8 of the data processing agreement).

5. Your prices, documents and tax

You set your own prices, templates, discounts, tax and VAT settings, and the terms on your quotes and invoices. Starter prices are only a starting point, which is why you check and confirm them before they can be used. You're responsible for the quotes and invoices you send and for your tax and accounting. Venqaro Shop does the calculations you set up, but it doesn't give tax, accounting or legal advice: if you're unsure, ask a qualified adviser. Keep the records the law requires you to keep (HMRC requires VAT records to be kept for at least 6 years).

6. Acceptable use

Please don't use Venqaro Shop to:

• break the law, or help anyone else to;
• send spam, or messages people haven't asked for;
• upload material you don't have the right to use, or anything meant to cause harm, such as malware;
• try to get into other people's accounts or workspaces, or test, probe or overload the service without our written agreement;
• copy, resell or build a competing product from the service.

7. Your data

Everything your business puts into Venqaro Shop remains yours. You give us permission to host, copy, process and display it only as needed to provide the service to you. Our data processing agreement is part of these terms and covers personal information about your customers and contacts; our privacy notice explains the rest. The owner can download your workspace's records at any time, and uploaded files and PDFs one at a time, as section 8 of the data processing agreement describes.

8. Our software

We own Venqaro Shop and everything we provide with it, apart from your data. While these terms apply, you may use it for your business. If you send us ideas or feedback, we may use them without owing you anything.

9. Availability and support

We work to keep Venqaro Shop available and running well, but we can't promise it will always be available or free of errors, especially during the beta. Support is by email at tomoya@venqaro.co.uk. Planned maintenance will be at quiet times where we can.

10. Suspension and ending

You can stop using Venqaro Shop at any time: the owner can close the workspace from its settings. On the paid plan, cancelling is a separate step (section 4). We may suspend or close an account or workspace that breaks section 6, or if we must to protect the service, other users or the law. Where we reasonably can, we'll tell you why first and give you a chance to put it right. If we end the service, or your use of it, for any reason other than a serious breach, we'll give you at least 30 days' notice so you can export your data, and section 4 says what we refund if you've paid in advance.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law. Otherwise, we're not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss, and our total liability to you for everything arising from these terms in any 12 months is limited to £100 while the beta is free. The version of these terms you accept for the paid plan sets the limit for paid use (section 4).

12. Changes to these terms

We may update these terms. We'll give account owners at least 30 days' notice of changes that affect them materially. The version and date at the top show which version this is, and we keep a record of the version each business and person accepted. If you don't agree to a change, you can stop using Venqaro Shop before it takes effect. Moving to the paid plan always needs your explicit agreement (section 4).

13. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
